These Terms and Conditions ("Terms") govern access to and use of the website, mobile application(s), software-as-a-service platform, dashboards, analytics tools, and any other digital properties operated by DocNex Healthcare LLP, a limited liability partnership having its registered office at Malancha Mahinagar, Baruipur, Kolkata, West Bengal – 700145, India (collectively, "DocNex," "Company," "we," "us," or "our"), including the corporate website at docnex.in and the platform at webapp.docnex.in (together, the "Platform"), by any individual, healthcare professional, medical representative, pharmacy, enterprise, pharmaceutical or biotechnology company, or other entity ("User," "you," or "your").

By accessing, registering on, or otherwise using the Platform, you agree to be bound by these Terms and by our Privacy Policy and any service- or asset-specific policy referenced herein, all of which together form a legally binding agreement between you and DocNex.

If you do not agree to these Terms, please do not access or use the Platform.

1. Acceptance of Terms

By accessing or using the Platform, you represent and warrant that:

• You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher.
• You are competent to enter into a legally binding agreement in accordance with the Indian Contract Act, 1872.
• You will use the Platform in compliance with all applicable Indian laws, including the Digital Personal Data Protection Act, 2023 ("DPDP Act") and the Digital Personal Data Protection Rules, 2025 ("DPDP Rules").
• If you are accessing the Platform on behalf of a company, hospital, pharmacy, or other entity, you are authorised to bind that entity to these Terms.
• Where you are a healthcare professional ("HCP"), medical representative ("MR"), or pharmacy registering on the Platform, the information and credentials you provide for verification are true, current, and complete.

These Terms apply uniformly across all DocNex digital properties unless expressly supplemented or varied by asset-specific or client-specific terms, in which case the more specific terms shall prevail to the extent of any inconsistency.

2. Modifications to Terms

DocNex reserves the right to update, modify, or revise these Terms at any time, at its sole discretion. Changes take effect immediately upon being posted on the Platform, and the "Last Updated" date will be revised accordingly. Your continued use of the Platform after any such change constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

3. Scope of Services

DocNex operates an AI-powered healthcare intelligence platform that unifies healthcare data into decision-ready insights for pharmaceutical, biotechnology, and healthcare-innovation organisations. Depending on your category of access, the services made available through the Platform may include, without limitation:

• Healthcare provider intelligence, clinical-trial insights, healthcare-network analytics, and market-access intelligence.
• AI-driven analytics and decision-support tools for pharmaceutical, biotech, and life-sciences organisations.
• Content creation and content marketing services for healthcare brands.
• Lead generation, medical representative (MR) lead generation, and pharmacy tie-up / lead generation services.
• Key opinion leader (KOL) outreach and engagement services.
• Networking, educational, and engagement features for verified healthcare professionals, medical representatives, and pharmacies.
• Dashboards, reporting tools, and campaign-performance analytics for enterprise clients.

DocNex reserves the right to add, remove, suspend, or modify any feature or service, in whole or in part, at any time and without prior notice, without incurring any liability to Users.

4. Account Registration and User Categories

Certain features of the Platform require registration and creation of an account. Depending on the nature of the service, Users may register as a healthcare professional, medical representative, pharmacy, pharmaceutical/biotech company representative, enterprise administrator, or in another designated capacity, each of which may be subject to additional eligibility, verification, or documentation requirements.

• You agree to provide accurate, current, and complete information at the time of registration and to keep such information updated.
• You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You shall not share, transfer, rent, or sell your account access or credentials to any other person or entity.
• You must notify DocNex immediately of any unauthorised use of your account or any other breach of security.
• DocNex reserves the right to verify professional credentials (such as medical registration numbers, pharmacy licences, or company affiliation) and may suspend or refuse access pending such verification.
• DocNex reserves the right to suspend or terminate any account that violates these Terms, provides false or misleading information, or fails verification checks.

5. Data Protection, Privacy & Compliance

Your use of the Platform, and DocNex's collection, processing, storage, and sharing of your personal data, is governed by our Privacy Policy and by applicable law, including the DPDP Act and DPDP Rules. In particular:

• Personal data is collected and processed only for specified, lawful purposes such as account verification, service delivery, analytics, customer support, marketing communications (where consented to), and legal or regulatory compliance.
• Where required by law, personal data is processed only on the basis of your explicit, informed consent, which you may withdraw at any time, subject to the process described in our Privacy Policy.
• DocNex maintains reasonable technical, organisational, and contractual safeguards to protect personal data against unauthorised access, disclosure, alteration, or destruction.
• As a "Data Principal" under the DPDP Act, you have certain rights, including the right to access, correct, update, and request erasure of your personal data, the right to nominate another individual to exercise your rights in the event of death or incapacity, and the right to grievance redressal.
• DocNex does not knowingly collect Aadhaar numbers, PAN, or other identifiers whose collection is restricted under applicable law, except where legally permitted and strictly necessary.
• Any personal data breach shall be assessed, contained, and reported in accordance with the timelines and procedures prescribed under the DPDP Rules.

6. Intellectual Property

All content on the Platform, including but not limited to software, source code, algorithms, databases, user interfaces, designs, graphics, dashboards, reports, trademarks, and the DocNex name and logo, is either owned by DocNex Healthcare LLP or licensed to it, and is protected under the Indian Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws.

Users shall not, without DocNex's prior written consent:

• Copy, reproduce, distribute, publicly display, or commercially exploit any content or output from the Platform.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform or any part of it.
• Use any DocNex trademark, logo, or branding without authorisation.

7. Confidentiality

"Confidential Information" means any non-public information disclosed by DocNex to a User, or generated through use of the Platform, including business plans, pricing, analytics methodologies, unpublished reports, and technical information.

• Users shall keep Confidential Information strictly confidential for a period of five (5) years from disclosure, or such longer period as may be required by applicable law.
• Confidential Information shall be used only for purposes expressly permitted under these Terms or under a separate written agreement with DocNex.
• Users shall promptly notify DocNex of any unauthorised access to, or disclosure of, Confidential Information.

8. Acceptable Use Policy

You agree that you shall not use the Platform to:

• Violate any applicable law, including the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023, the DPDP Act, or the DPDP Rules.
• Upload, transmit, or distribute malware, spam, or any other malicious or disruptive code.
• Hack, phish, impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Post or transmit obscene, defamatory, hateful, threatening, or otherwise unlawful content.
• Collect or process data belonging to minors or other vulnerable individuals without verifiable consent.
• Circumvent, disable, or otherwise interfere with security features of the Platform, or access data or accounts you are not authorised to access.
• Manipulate, falsify, or artificially inflate leads, engagement metrics, referral activity, analytics, rankings, or any other performance data on the Platform.
• Use the Platform to engage in unsolicited or misleading marketing communications to healthcare professionals in violation of applicable advertising or medical-marketing codes.

9. User Content

"User Content" means any data, documents, files, feedback, posts, campaign material, or other content submitted, uploaded, or transmitted by you through the Platform.

• You retain ownership of your User Content.
• You grant DocNex a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, and use your User Content solely for the purpose of providing, operating, and improving the Platform and related services.
• You represent and warrant that you own or have the necessary rights to submit your User Content, and that it does not infringe the intellectual property, privacy, or other rights of any third party.

10. Feedback

If you provide DocNex with suggestions, ideas, or feedback regarding the Platform, you agree that DocNex may use such feedback freely, for any purpose, without any obligation to compensate you, and you waive any intellectual property or moral rights you may have in such feedback to the extent permitted by law.

11. Third-Party Integrations and Services

The Platform may integrate with, link to, or rely on third-party APIs, tools, payment gateways, or services. DocNex does not control and does not guarantee the accuracy, availability, security, or performance of any third-party service, and your use of such services is governed by the respective third party's terms and privacy policy. DocNex is not responsible for any loss or damage arising from your use of third-party services.

12. Fees, Payment, Cancellation and Refunds

• Access to certain features, subscriptions, or campaign services may require payment of fees, as communicated to you at the time of purchase or subscription.
• Payments may be accepted through approved Indian payment methods, including UPI, net banking, debit/credit cards, and digital wallets.
• Except as otherwise expressly stated at the time of purchase or as required by applicable law, fees for activated subscriptions or services are non-refundable.
• Users may cancel auto-renewal of subscriptions through their account settings or by writing to DocNex prior to the next renewal date.

13. Disclaimer of Warranties

The Platform, and all content, analytics, and insights made available through it, are provided on an "as is" and "as available" basis. While DocNex uses reasonable efforts, including AI-driven and data-engineering processes, to ensure the accuracy and reliability of the insights provided, DocNex does not warrant that the Platform will be uninterrupted, error-free, or that any insight, analytics output, or recommendation will be fully accurate, complete, or suitable for any particular clinical, regulatory, or commercial purpose. Users are responsible for independently verifying any information before relying on it for clinical, regulatory, or business decisions.

14. Limitation of Liability

To the maximum extent permitted under applicable Indian law:

• DocNex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Platform.
• DocNex's aggregate liability, if any, arising out of or relating to these Terms or the Platform shall not exceed the total fees paid by you to DocNex in the three (3) months preceding the event giving rise to the claim.
• DocNex assumes no liability for User Content, for the actions of any third party, or for any lead, referral, engagement, or analytics-based outcome generated through the Platform.

15. Indemnity

You agree to indemnify, defend, and hold harmless DocNex Healthcare LLP and its partners, directors, officers, employees, agents, affiliates, licensors, contractors, and successors (collectively, the "Indemnified Parties") from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your access to or use of the Platform.
• Your violation, or alleged violation, of these Terms or any applicable law, including the DPDP Act and DPDP Rules.
• Any User Content submitted, posted, or transmitted by you.
• Any fraud, misrepresentation, negligence, or wilful misconduct by you or any person using your account.

DocNex reserves the right, at your expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with DocNex in such defence. You shall not settle any such claim without DocNex's prior written consent.

16. Termination and Suspension

DocNex may suspend or terminate your access to the Platform, with or without notice, where you violate these Terms, where required by law or a regulatory or governmental authority, upon verification failure, or upon discontinuation of the relevant service. Upon termination, all rights and licences granted to you under these Terms shall immediately cease, without prejudice to any rights or obligations that have already accrued.

17. Grievance Redressal and Data Requests

In accordance with the DPDP Act and DPDP Rules, you may direct any grievance, or any request relating to your personal data (including access, correction, erasure, or withdrawal of consent), to the Grievance Officer designated below:

DocNex will acknowledge grievances within [24–72] hours of receipt and endeavour to resolve them within a reasonable period, and in any event within the timelines prescribed under the DPDP Rules.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to Section 19 (Dispute Resolution), the courts at Kolkata, West Bengal shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

19. Dispute Resolution

DocNex prefers to resolve disputes amicably through good-faith negotiation. If a dispute is not resolved informally within thirty (30) days, it shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by DocNex. The seat and venue of arbitration shall be Kolkata, West Bengal, and the language of arbitration shall be English.

20. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any other policy referenced herein, constitute the entire agreement between you and DocNex regarding the Platform. DocNex may issue asset-specific or client-specific terms, which shall supplement these Terms and prevail only to the extent of any inconsistency for the relevant asset or engagement.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

No failure or delay by DocNex in enforcing any provision of these Terms shall constitute a waiver of its right to enforce that or any other provision in the future.

Force Majeure

DocNex shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, civil unrest, strikes, pandemics, or government action.

Assignment

You may not assign or transfer your rights or obligations under these Terms without DocNex's prior written consent. DocNex may assign or transfer its rights and obligations under these Terms without restriction.

Relationship of the Parties

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and DocNex.

Survival

Provisions that by their nature should survive termination — including Confidentiality, Intellectual Property, Limitation of Liability, Indemnity, Governing Law, and Dispute Resolution — shall survive any termination or expiry of these Terms.

Notices

Any notice to DocNex under these Terms must be sent by email to sales@docnex.in or by courier to DocNex Healthcare LLP, Malancha Mahinagar, Baruipur, Kolkata, West Bengal – 700145.

Third-Party Rights

No person who is not a party to these Terms shall have any right to enforce any of its provisions.
